Welcome to Psycura, operated by Psycura Inc. (referred to as "Psycura," "we," "us," or "our"). By accessing or using our website, mobile application, or any other Psycura services (collectively, the "Services" or "Platform"), you agree to be bound by these Terms of Use (this "Agreement" or "Terms"), including our Privacy Policy, and any other policies or guidelines that we may reference in these Terms including, without limitation, our Community Guidelines . If we make any material changes, we will clearly post the new version with an updated effective date and will notify you on the website, by email, or both. Summary: We do not tolerate bad behavior on Psycura. If someone is acting inappropriately, please report them. We can remove content or users who violate our rules (on or off the app).
Psycura is dedicated to maintaining a safe, respectful, and positive matching pool. Inappropriate content or behavior is not tolerated, whether it occurs on our platform or off the platform (in connection with meeting someone from Psycura). This includes any form of harassment, threats, hate, or other conduct prohibited by our Terms and guidelines.
Reporting:
We encourage you to report any user or content that violates our Terms or makes you feel unsafe. You can report within the app (for example, via a “Report” option on a profile or message), or by emailing us at support@psycura.ca with the relevant details. When reporting, please provide as much detail as possible (user’s name, what happened, screenshots if applicable) to help us investigate. For any urgent safety concerns please include “URGENT” in the subject line of any communication with Psycura.
We’ll review your report and respond according to the laws that apply.
Process after a Report:
When we receive a report from you both your account and the reported user's accounts are temporarily locked while we investigate. This protects the integrity of the investigation and prevents further harm in either direction. We prioritize resolving reports quickly to minimize impact on both parties. We review the reported content and may contact you for additional information. We will then investigate the reported user's account and may take the following actions based on our findings.
Our Actions:
We take reports seriously. If we find that a user has violated these Terms or behaved inappropriately, we may take a range of actions. These include:
- removing the offending content,
- issuing warnings to the user,
- restricting certain account features
- temporarily suspending or permanently terminating the user’s account (possibly across other services we operate, if any),
- Advising you to contact law enforcement when warranted, and preserving evidence to support any investigation
- notifying law enforcement or other authorities if the behavior is unlawful or poses a risk, and/or
- any other action that we deem necessary to maintain a safe environment.
We may take action if something serious happens outside of Psycura but is clearly connected to the platform. This could include things like criminal acts, threats, harassment, or unsafe behaviour during an in-person meetup arranged through Psycura, or messages sent on other apps after you’ve connected here. If we believe, based on what we know and local laws, that someone’s off-platform behaviour could put the Psycura community at risk, we may suspend or ban their account to help keep everyone safe
No Notice Required:
We may take these actions with or without notice to the affected user. Psycura is not obligated to disclose to you the outcome of any report or the details of any action we take, as doing so might infringe on others’ privacy or jeopardize our safety processes.
Affiliates and Data Sharing:
In the interest of user safety, Psycura may share information about banned users with its affiliates as allowed by law and our Privacy Policy. This can help prevent someone banned on one of our apps from causing harm on another.
Appeals:
If your account is actioned (e.g., content removed or account suspended) and you believe it was a mistake, you may contact us to appeal the decision (see Section 9 on Account Termination for more on appeals). We will review appeals promptly, but unless required by law, our decision on appeal is final.
IP Violation Reporting:
If you believe something on Psycura violates your copyright or other intellectual property rights, you can report it. This applies under Canadian laws (like the Copyright Act), the U.S. DMCA, and similar laws in other countries.
To report a copyright issue you can do so In-app using the report function on any profile or message, or email us at support@psycura.ca with the following:
- What content you believe is infringing

Summary: We value your privacy. Our separate Privacy Policy explains how we handle your personal data. By using Psycura, you agree that we can use your data as described in that policy.
Protecting your personal data is important to us. Please read our Privacy Policy to understand how we collect, use, and share your information. By using our Services, you agree that Psycura may process your personal data in accordance with our Privacy Policy.
Psycura complies with Canada’s PIPEDA, Québec’s Law 25, the EU GDPR, UK GDPR, the U.S. state-level privacy laws (including California’s CPRA), and similar laws in all jurisdictions where we operate or serve users. Where required by applicable privacy laws, including Alberta’s Personal Information Protection Act (PIPA), Québec’s Law 25, and any other provincial privacy law. Psycura will implement contractual or other safeguards to protect personal data transferred to jurisdictions outside Canada.
Some key points on privacy:
- We implement appropriate security measures to protect your personal information. However, no service is completely secure, and you acknowledge that we cannot guarantee that unauthorized parties will never be able to defeat those measures.
- If you are located in the EU, EEA, UK, or other regions with data protection laws, you have certain rights (like access, correction, deletion, etc.) regarding your personal data. We explain how to exercise those rights in our Privacy Policy.
- Your data is primarily stored and processed in Canada, with primary infrastructure hosted in Toronto, Ontario. Certain service providers, including our transactional email provider, may process limited personal data in the United States or other countries. As we expand globally, we may establish data processing in additional regions to better serve users and comply with local requirements. By using Psycura, you consent to the transfer and storage of your personal data on our servers and with our service providers, which may be in your country or in other countries. We will take steps to ensure adequate protection of personal data when transferred internationally (for example, by using standard contractual clauses as needed under GDPR).
If you have questions about our privacy practices, you can contact us as described in the Privacy Policy (at privacy@psycura.ca).
6. Rights You Are Granted By Psycura
Summary: We grant you a personal, limited license to use our Services as long as you follow these Terms.
For as long as you comply with these Terms, Psycura grants you a personal, worldwide, royalty-free, non-transferable, non-exclusive, revocable, and non-sublicensable license to access and use our Services for purposes as intended by Psycura and permitted by these Terms and applicable laws. This license is for your individual, personal, non-commercial use of the Services.
This means you can download and install our app on your device, create an account, and use the Services to connect with others, subject to these Terms. You do not have any ownership in the Services or any related content by using the app, and we can revoke this license if you violate the Terms.
Automatic Revocation:
If you violate these Terms, the above license and any permission to access the Services automatically terminate. Psycura also reserves the right to terminate or suspend your access to the Services at any time for any reason, as described elsewhere in these Terms.
Except for this license, you have no other rights in the Services or content of Psycura. We reserve all rights not expressly granted to you by these Terms.
7. Rights You Grant Psycura
Summary: You own the content you post, but you give us permission to use it so that we can operate and promote the service. You also allow us to collect and use certain information consistent with our Privacy Policy, and you agree we can show ads. Any feedback you give can be used by us without compensation to you.
Your Content License to Psycura:
While you remain the owner of Your Content, by creating an account and posting any content on Psycura, you grant Psycura a worldwide, irrevocable, perpetual, transferable, sub-licensable, royalty-free license to host, store, use, copy, display, reproduce, adapt, edit, modify, publish, translate, create derivative works from, distribute, and make available to other users and parts of the public (for example, through ads or other media) Your Content in any format or medium now known or developed in the future. To the extent permitted by applicable law, you waive any moral rights you may have in Your Content for the purposes of our use as outlined herein.
- This license to Your Content is non-exclusive, which means you still own your content and can use it however you like or allow others to use it too. However, we may have exclusive rights to use certain materials created through the Service that include your content—for example, screenshots or promotional images of the Psycura app that display your profile or messages. These exclusive rights only apply to how Psycura presents or promotes the Service, not to your original content itself. You still fully own your content and can use it outside of Psycura however you choose.
- This license also extends to information you authorize us to access from third parties (for instance, if you import photos from your social media account or allow us to use information from another service).
Enforcement of Your Rights:
You authorize Psycura to act on your behalf to address unauthorized uses of Your Content by other users or third parties outside of our Services. This includes the right (but not the obligation) to send take-down or infringement notices under Canada’s Copyright Act and other applicable intellectual property laws, both in Canada and internationally. We may also submit requests under frameworks such as the U.S. DMCA where appropriate. This helps protect your content from being misused elsewhere. Please note that we exercise this right at our discretion and are not obligated to pursue every instance of unauthorized use.
Personal Data:
Our license to Your Content is subject to applicable laws, especially where Your Content contains personal data. For example, if you delete your account, we will remove Your Content as required by law, and if Your Content includes personal information, our use of it will comply with privacy laws (see our Privacy Policy). Nothing in these Terms supersedes your rights under data protection laws.
Use of Your Content in Advertising:
We will not sell your personal images or Your Content to third parties without your consent. However, by granting this license, you agree that Psycura may use Your Content (like your profile picture or profile information) for promotional purposes of the Service. For example, we might display a screenshot of the app that includes your profile in an App Store listing or social media advertisement. If we do so, we will do it in a way that is intended to promote the community and the app (and, for clarity, not to endorse third-party products without your consent).
Feedback:
If you provide feedback, ideas, or suggestions to Psycura about the Services (“Feedback”), you agree we can use and share that Feedback for any purpose, without any compensation to you. For example, if you suggest a new feature and we implement it, we aren’t obligated to pay you or acknowledge you.
Data Access:
You agree that Psycura may access, preserve, and disclose your account information and content if required to do so by law, or if we believe in good faith that such access, preservation, or disclosure is reasonably necessary to (i) comply with legal process, (ii) enforce these Terms, (iii) respond to claims that any content violates the rights of third parties, or (iv) protect the rights, property, or personal safety of Psycura, its users, or the public.
8. Purchases And Automatically Renewing Subscriptions
Summary: Psycura offers paid features, including subscriptions that renew automatically until you cancel. This section explains how payments, renewals, and cancellations work, and it covers special terms for in-app purchases through third parties and our refund policy. You can access and review all of our paid subscription tiers and pricing, here. Psycura will comply with any jurisdiction’s notice or cancellation requirements for auto-renewing subscriptions.
Psycura may offer products and premium features for purchase (“Purchases”), such as subscription plans. When you choose to make a Purchase, you will be able to review and accept the terms of the Purchase, including the pricing and the length of any subscription, before finalizing your transaction.
Monthly subscriptions will automatically renew at the end of each subscription period until you cancel. Your chosen payment method will be charged the then-current rate for the renewal term
Prepaid 3-month and 6-month subscriptions do not automatically renew..
Cancelling a subscription will stop future charges, but you will retain access to the subscribed features for the remainder of the period you’ve already paid for. Note that deleting your account or the app will not automatically cancel a subscription. You must follow the cancellation procedures described here.
Psycura’s pricing is in USD and may vary based on promotions or other factors. We also reserve the right to change pricing for subscriptions or other services in the future. If we change the price of your subscription, we will notify you in advance (for example, by email or in-app notification). If you do not agree to the price change, you must cancel your subscription before the next renewal. If you don’t cancel, the new price will apply and you authorize us to charge your payment method at the new rate.
We reserve the right to limit or refuse any Purchase, and to discontinue offering any product or feature at any time. We may also correct obvious errors in pricing or descriptions, even if we have already requested or received payment.
Payment Terms:
If you make a Purchase through the Psycura website or app using your credit card, debit card, or other payment method (not through a third-party app store), that is a “Purchase”.
- When you make a Purchase, you authorize Psycura (and our authorized payment processor) to charge the Payment Method you provide for the amount of the selected service plus any applicable taxes. You agree to provide current, complete, and accurate billing details. If your Payment Method fails or is invalid, we may run it again or ask you to provide a new payment method.
- We reserve the right to correct billing errors or mistakes even if payment has already been requested or received. For instance, if we accidentally undercharge you or a technical error causes an incorrect amount to be charged, we may correct it by charging or refunding the appropriate difference, and we will notify you of such adjustments.
- If you initiate a chargeback or reversal of an Internal Purchase payment through your bank or card issuer, Psycura may terminate your account immediately at our discretion. Chargebacks are generally seen as you deciding not to pay for the Services; if it was a misunderstanding that gets resolved in your favor, contact support to discuss reinstating your account.
- For subscription Purchases, after the initial term, monthly subscriptions will automatically continue at the interval disclosed and your Payment Method will be charged for each renewal until you cancel. We will typically email you a receipt or confirmation each time a payment is made. You can cancel a subscription by visiting your account settings on our website/app and following the instructions to cancel, or by contacting our Customer Support for assistance. If you cancel, you will still have access for the remaining days you’ve paid for, but it will not renew further.
Refunds:
Generally, all charges for purchases are nonrefundable, and there are no refunds or credits for partially used periods. For example, if you purchase a 3-month subscription and you cancel your account after 30 days, the remaining 60 days will not be refunded (except where required by law).
However, we acknowledge that certain local laws or special circumstances provide exceptions to the above rule. Therefore, Psycura may, at its sole discretion, grant refunds in limited circumstances.
How to Request a Refund:
To request a refund under one of the above provisions, please contact Psycura Customer Support through the in-app customer support tool or email us at support@psycura.ca with the subject “Refund Request”. Include your account identifier (email or phone number used to register) and the reason for your request.
Once we receive your refund request or cancellation notice, if you are eligible under the terms above or applicable law, we will process your refund. Refunds granted by Psycura will be credited back to the original Payment Method if possible, or otherwise via another method we inform you of. Please allow a reasonable time for processing.
No refund will be given in cases where we terminated your account because these Terms were violated. Also, any refund of fees (even if granted) will not include any charges we cannot recover (for instance, if a payment processor or app store keeps their portion or any transaction fee, we will refund only what we actually received, unless law requires otherwise).
9. Account Termination
Summary: You can delete your account whenever you want. We can also terminate or suspend your account if you violate the Terms or for other reasons to protect our service or users. If your account is terminated (by you or us), you don’t get a refund for any purchases you’ve made, and these Terms still apply in certain ways even after termination.
Your Right to Terminate:
You have the right to delete your Psycura account at any time, for any reason. To delete your account, you can use the in-app deletion option (usually found in the Settings menu) or contact us for assistance.
Account deletion is reversible during a 30-day grace period; you can cancel the deletion at any time during this window. After the grace period expires, deletion is irreversible and you will permanently lose access to matches, messages, and other account data.
Keep in mind: Deleting the Psycura app or simply not logging in will not automatically cancel any active subscriptions. You must follow the steps in Section 8 to cancel a subscription to stop recurring payments.
Our Right to Terminate or Suspend:
We hope to never have to do this, but Psycura reserves the right to suspend or terminate your account at any time if we believe, in our sole discretion, that:
- You have violated these Terms or any of our policies,
- You have misused the Services or behaved in a way that is inappropriate, illegal, or harmful (on the Psycura platform or, as noted, off-platform in interactions related to Psycura),
- You pose a risk to other users or Psycura, or
- For any other reason in our reasonable judgment (for example, prolonged inactivity, or if we discontinue the Services).
We may also remove accounts that were reported for misconduct on an affiliated service or by law enforcement. Suspension can also be part of an investigation pending a final decision.
When we terminate an account under these circumstances, it will typically be without prior notice and without any refund of purchases or subscription fees, to the extent permitted by law. If we determine after termination that a refund is required by law, we will provide that (for example, California requires pro-rata refunds for certain terminations; we will comply in such cases).
Post-Termination:
If your account is terminated (by you or by us), certain provisions of these Terms survive. Specifically, Sections relating to Content licenses (Section 7), Dispute Resolution (Section 13), Limitation of Liability (Section 12), Indemnity (Section 16), and any other section that by its nature should survive, will remain in effect. Termination of your account does not mean termination of these provisions. You will not be able to access your account, and you are not allowed to create a new account unless we expressly invite you to do so.
After termination, deletion of your account and your personal information shall be subject to the data retention practices described in our Privacy Policy. Generally, that means we’ll delete or anonymize personal information, unless it’s necessary to retain for legal obligations or safety (for example, we may retain data on a banned user to prevent them from circumventing a ban, or to assist law enforcement if needed).
No Liability for Termination:
Psycura is not liable to you for any consequences of account termination or suspension, including the deletion of Your Content or loss of access to matches or messages.
Appeals:
If you believe we have suspended or terminated your account in error, you may contact us at support@psycura.ca to appeal. Please include your account information and explain why you believe the action was incorrect. We will review all appeals in good faith and in accordance with applicable Canadian laws, including principles of fairness and procedural transparency under Canadian consumer protection and privacy legislation.
For users in the European Union, we will provide notice of any suspension or termination and offer an appeals process, unless legal or security considerations prevent us from doing so, as required by applicable EU laws. For users in Québec, we will comply with relevant provisions under the Civil Code of Québec and the Consumer Protection Act. For users in other jurisdictions, we will make reasonable efforts to review appeals, but detailed notice may not always be provided.
We aim to respond to appeals within a reasonable period. Submitting an appeal does not guarantee reinstatement. In cases involving serious or repeated violations of our Terms, we may decline to reinstate your account or respond to the appeal, unless required by law.
10. No Criminal Background Or Identity Verification Checks
Summary: We do not, but reserve the right to, conduct background checks on users. Be cautious in interactions.
Psycura does not routinely conduct criminal background checks or identity verification on our users. You should not assume that other users are verifiably safe or trustworthy.
Psycura makes no representations or warranties as to the conduct or intentions of any individual you interact with through our Services.
You are solely responsible for your interactions with other users. We do not guarantee the conduct of any user, and we do not screen users for criminal history or any other background factors.
We reserve the right to conduct any background checks or screening (such as sex offender registry searches) at any time if we determine, in our sole discretion, that it is necessary to protect the safety of the community or as required by law. By agreeing to these Terms, you authorize us to obtain and use such background checks or screenings for the purpose of enforcing these Terms.
Remember to exercise caution in all interactions with others. We also cannot guarantee your safety, the identity, intentions, or behaviour of any other user, please follow sensible practices like meeting in public places, telling friends/family your plans, etc.
If at any time you feel unsafe or have been threatened by another user, stop communicating with that user and consider reporting them to us and/or law enforcement.
11. Disclaimer Of Warranties
Summary: Use Psycura at your own risk. The services are provided "as is" without guarantees.
Psycura’s Services are provided to you on an “AS IS” and “AS AVAILABLE”. To the fullest extent permitted by law, we make no representations or warranties of any kind, express, implied, statutory, or otherwise with respect to the Services. This means:
- No Implied Warranties: We specifically disclaim any and all implied warranties of satisfactory quality, merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Services will meet your expectations or requirements.
No Warranty of Service Quality: Psycura does not warrant that:
- the Services will always be uninterrupted, timely, secure, or error-free,
- that any defects or errors will be corrected, or
- that the Service will be compatible with your device or that it will operate in combination with any other hardware, software, or system.
- No Warranty on Content: We do not warrant that any content (including Member Content or information you obtain from other users) is accurate, complete, or useful. You acknowledge that you rely on information from the Service at your own risk.
- No Outcomes Guaranteed: We make no guarantees that using the Services will result in you achieving any particular outcome (for example, finding a date or a partner). We do not guarantee any specific number of active users or any specific responses or matches.
- User Conduct: Psycura is not responsible for the conduct of any user on or off the Service. You understand that we do not vet users for any criminal background or verify their statements (as stated above). Communications received through the Service may be from users engaging in improper purposes (e.g., fraud or harassment). You agree to use caution in all interactions with others, particularly if you decide to communicate off the Service or meet in person.
- Third-Party Content: Psycura is not responsible or liable for any content that you or another user or third-party posts, sends, or acts on via our Services. We assume no responsibility for the identity, intentions, legitimacy, or veracity of any users you may encounter through Psycura. Any material or information you obtain through the Services is accessed at your own discretion and risk.
- Device and Technical Issues: You are solely responsible for any damage to your device or loss of data that results from using the Services. Psycura is not responsible for any harm to your computer, phone, or other device arising from your use of the Services or from any downloading of content through our Services. This includes damage from viruses or other malicious code that may be transmitted via the Services by any third party.
Some jurisdictions do not allow the exclusion of certain warranties or conditions, so some of the above disclaimers may not fully apply to you. In such an event, any legally required warranty is limited in duration to the minimum period legally required and, at our option, we will provide the minimum service (such as re-supplying the Services or component) required to comply with law.
12. Limitation Of Liability
Summary: Psycura’s liability is limited. We are not responsible for certain damages or losses.
To the fullest extent permitted by applicable law, in no event will Psycura (or its parent, affiliates, subsidiaries, officers, directors, employees, contractors, agents, partners, or licensors) be liable for any indirect, consequential, exemplary, incidental, special, punitive, or enhanced damages of any kind.
Maximum Liability: To the fullest extent permitted by applicable law, Psycura’s total aggregate liability to you for all claims arising out of or relating to the Services or these Terms will not exceed the lesser of the total amount you paid to Psycura in the 12 months preceding the event giving rise to the claim. This limitation does not apply where prohibited by applicable consumer protection laws, including those in Québec, the EU, and other jurisdictions. Nothing in this section excludes any statutory warranties or conditions under applicable consumer protection legislation that cannot be excluded or limited.
13. Dispute Resolution (Binding Arbitration And Class Action Waiver)
Summary: If you have a dispute with Psycura, you agree to first try to resolve it informally with us. If that doesn’t work, you agree most disputes will be resolved by binding arbitration on an individual basis (no class actions), except where the law prohibits or as noted.
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court or have a jury decide your case.
Informal Resolution:
Before filing a claim against Psycura, you agree to try to resolve the dispute informally. First, send a written notice to us at support@psycura.ca. In your notice, provide your name and contact information, and describe the nature of your dispute and the relief you seek. Likewise, if we have a dispute with you, we will contact you via the email address associated with your account or any other contact information you have provided. You and Psycura agree to negotiate in good faith to resolve the dispute informally. Each party will allow 30 days from the date the other party’s notice is received for informal resolution. If the dispute is not resolved within those 30 days, either party may begin an arbitration proceeding (or small claims court proceeding, if applicable).
Dispute Resolutions:
Unless prohibited by law, all disputes arising out of or relating in any way to your interaction with the Services will be finally and conclusively adjudicated and resolved by arbitration under the Arbitration Rules (“ADRIC Rules”) of the ADR Institute of Canada, Inc. (“ADRIC”), except as modified here. The arbitration will be in English. The arbitration will be held in the City of Calgary, however, that attendance of the parties may occur remotely by telephone or Internet.
If you reside in a jurisdiction that prohibits mandatory arbitration or class-action waivers for consumer contracts, Section 13’s arbitration and class-waiver provisions do not apply to you (or will apply only to the extent permitted by law).
Arbitration Fees and Costs:
Arbitration costs, including arbitrator fees, will be shared equally between the parties, unless otherwise required by applicable law. Each party shall bear their own legal fees unless the arbitrator determines that one party acted unreasonably, in bad faith, or with malice, in which case the arbitrator may award costs.
Nothing in this section restricts your ability to pursue consumer protection remedies available under applicable law, including in Québec, the EU, or other jurisdictions. Any award of attorney’s fees must comply with applicable law and the rules of the arbitration provider.
Class Action Waiver:
You and Psycura agree that any dispute resolution proceedings shall be conducted solely on an individual basis. Neither party may initiate or participate in a class action, collective action, or representative proceeding unless required by applicable law, except where such waiver is not permitted by law. If this class action waiver is found unenforceable or unlawful in relation to a particular claim, and that claim has not been opted out of arbitration, then Section 13 will be void solely as to that claim, which may proceed in court (as per Section 15). This does not affect the enforceability of the remainder of the Terms.
Continuation:
This Section 13 (Dispute Resolution) shall survive any termination of your account or the Services or these Terms and will remain in effect even if you opt out of the arbitration agreement or if the arbitration agreement is otherwise not applicable.
14. Governing Law
Summary: Alberta, Canada law governs these Terms, unless your local law says otherwise.
These Terms and any dispute between you and Psycura (except as set forth in Section 13) are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. If you reside outside of Canada, this choice of Alberta law does not deprive you of any mandatory consumer protection rights granted by the laws of your home jurisdiction.
Psycura makes no representation that the Services comply with the laws of every jurisdiction. If you access the Services from outside Canada, you do so at your own initiative and are responsible for complying with local laws. Psycura reserves the right to limit the availability of the Services or modify these Terms to comply with local legal requirements where necessary.
15. Venue (For Litigation)
Summary: Legal proceedings (where arbitration is not applicable or enforceable) must generally be brought in Alberta, Canada.
Subject to the arbitration agreement in Section 13 and any exceptions stated therein (e.g., small claims or where arbitration is prohibited or unenforceable by law), all legal proceedings arising out of or relating to these Terms or the Services must be brought exclusively in the courts of competent jurisdiction in the Province of Alberta, Canada sitting in the City of Calgary.
Both you and Psycura agree to submit to the personal jurisdiction of and venue in such courts, and waive any objection based on inconvenience of forum or other jurisdictional defences — except where your local law grants you non-waivable rights to bring actions in your own jurisdiction.
This clause does not override mandatory local jurisdictional rights under consumer protection laws, including but not limited to those applicable in Québec, the European Union, and the United Kingdom.
16. Indemnity By You
Summary: If your use of the Services or content or actions leads to claims against us, you will cover our losses.
You agree to indemnify and hold Psycura and its affiliates and their officers, directors, employees and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with: (i) your use of the Services; (ii) your Content, including any content you post, upload, share or otherwise make available through the Services; (iii) breach or violation of any of these Terms; (iv) your violation of any applicable law or the rights of any third party; (v) any interactions, meetings, or communications you have with other users or third parties as a result of your use of the Services.
Psycura reserves the right to assume control of the defence of any matter subject to indemnification at its own expense. If we do so, you agree to cooperate reasonably with us. You may not settle any claim that imposes obligations on Psycura without our prior written consent, which will not be unreasonably withheld.
This indemnity shall apply to the fullest extent permitted under the laws of your jurisdiction. If any part of this clause is held unenforceable in your region (including Québec or the European Union), it shall apply only to the extent allowed by local law.
17. Miscellaneous
Entire Agreement:
These Terms, together with our Privacy Policy, Community Guidelines, and any Additional Terms upon purchase or provided within the Services, contain the entire agreement between you and Psycura regarding the use of our Services. They supersede all prior or contemporaneous agreements, communications, proposals, and representations, whether oral or written, concerning the subject matter. This clause does not limit any non-waivable statutory rights in jurisdictions such as Québec or the EU.
No Third-Party Beneficiaries:
Only you and Psycura are parties to this Agreement. There are no third-party beneficiaries to this Agreement; in other words, these Terms do not confer any rights or remedies on any person or entity other than you and Psycura.
No Waiver:
If we fail to enforce any part of these Terms, it will not be considered a waiver of our rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Psycura. Our failure to exercise or enforce any right or provision of these Terms is not a waiver of that right or provision.
Severability:
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.
Where any provision of these Terms makes reference to rights or obligations under applicable local laws or regulations, and such laws or regulations are amended, repealed or replaced after the effective date of these Terms, the affected provisions shall be construed, interpreted, or reasonably amended to give effect to their original intent while complying with the updated legal requirements, if any, to the fullest extent permitted by law. Nothing in these Terms shall be interpreted or enforced in a way that would contravene any non-waivable statutory consumer or data protection rights applicable to you under local law.
Assignment:
You may not assign or transfer your rights or obligations under these Terms to anyone else without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. Psycura has the right to freely assign or transfer its rights and obligations under these Terms (for example, in the event of a merger, acquisition, sale of assets, or by operation of law) without notice or consent. These Terms will inure to the benefit of and be binding upon each party’s successors and permitted assigns, subject to applicable consumer protection laws
Relationship of Parties:
These Terms do not create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between you and us. You have no authority to make or accept any offers or representations on behalf of Psycura.
Headings:
Section headings and brief summaries at the start of each section in these Terms are for convenience and readability only, have no effect on interpretation, and do not affect the legal interpretation of the Terms.
Electronic Communications & Notices:
You agree that we can send you notices and messages electronically, such as by email to the address you provided, through the Service (e.g., via in-app notification), or by posting to our website, in compliance with applicable Canadian electronic commerce and anti-spam laws (including CASL) and any similar global laws where required..
